Terms and Conditions for BossApp LLC

Welcome to BossApp LLC ("we", "our", "us"). These Terms and Conditions ("Terms") govern your use of our platform and services. By accessing or using our website and services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our services.

If you are using our services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Eligibility

3. Account Registration

5. Payment and Fees

a. Service Fees

We may charge fees for certain services offered on our platform. You agree to pay all applicable fees, which will be clearly disclosed to you before you use the service. Fees are non-refundable unless otherwise stated.

b. Payment Processing

Payments between users (e.g., freelancers and clients) are processed through third-party payment processors. By using our services, you agree to comply with the terms and conditions of the payment processor. We are not responsible for any issues arising from the payment process.

c. Taxes

You are responsible for any applicable taxes associated with your use of our platform and services. We may deduct or withhold any taxes we believe we are legally required to do so.

6. Intellectual Property

a. Ownership

We retain all rights, title, and interest in and to our platform, including all related intellectual property rights. You are granted a limited, non-exclusive, non-transferable, and revocable license to use our platform for its intended purposes.

b. User Content

You retain ownership of any content you post or upload to our platform. By posting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, distribute, and display your content for the purpose of operating and improving our services.

7. Dispute Resolution

a. Informal Resolution

We encourage users to resolve disputes informally through our platform’s messaging and resolution tools. If a dispute cannot be resolved informally, it may be escalated as described below.

b. Arbitration

Any dispute arising out of or relating to these Terms or your use of our platform will be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its rules. The arbitration will take place in Delaware, USA, and will be conducted in English.

c. Class Action Waiver

You agree that any arbitration will be conducted on an individual basis only. You waive the right to participate in any class, collective, or representative action against us.

8. Disclaimer of Warranties

Our platform and services are provided on an "as is" and "as available" basis. We disclaim all warranties, whether express, implied, or statutory, including, but not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or secure.

9. Limitation of Liability

To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of our platform or these Terms, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising out of or relating to these Terms or your use of our platform is limited to the amount paid by you, if any, to us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless BossApp LLC, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or relating to your use of our platform, your breach of these Terms, or your violation of any law or the rights of a third party.

We may update these Terms from time to time. Any changes will be posted on this page with an updated "Effective Date." By continuing to use our services after the changes take effect, you agree to be bound by the revised Terms.
